I am an independent entity from HighLevel. I am not an agent or employee of HighLevel and have no authority to make binding contracts or represent HighLevel. The opinions expressed here are my own and shall NOT be interpreted or considered as representations, guarantees, or statements made by HighLevel Inc. or any of its subsidiaries, agents, or assigns.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Governing Law

These Terms shall be governed and construed in accordance with the laws of United States without regard to its conflict of law provisions.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 15 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

1. INTRODUCTION & ACCEPTANCE

Welcome to OMH Agency, LLC (“OMH Agency,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of OMH Agency’s services, products, platforms, and consulting (collectively, the “Services”).

By accessing or using any part of OMH Agency’s Services — including but not limited to Iron Closer, Rental Manager Pro, Podcast HostMaster, or any custom buildouts — you agree to be bound by these Terms.

2. SCOPE OF SERVICES

OMH Agency provides strategy, automation, consulting, and SaaS products designed to help entrepreneurs and real estate investors scale their businesses.

Our services may include:

• Access to CRM platforms (powered by HighLevel)

• Automations, workflows, templates, websites, funnels, and AI tools

• Consulting, training, and support

• Done-for-you buildouts and custom services

• Access to branded programs like Iron Closer, Rental Manager Pro, and Podcast HostMaster

3. PLATFORM POWERED BY HIGHLEVEL

Much of OMH Agency’s technology is powered by HighLevel, LLC (“HighLevel”).

By using OMH Agency’s Services, you also agree to HighLevel’s Terms of Service, Privacy Policy, and Acceptable Use Policy.

4. ACCOUNT OWNERSHIP & ACCESS

You must provide accurate, current, and complete information to create your account.

Account ownership will be determined by the individual or business entity who entered into this agreement with OMH Agency.

If multiple parties claim ownership, OMH Agency reserves the right to suspend access until the dispute is resolved.

5. CLIENT RESPONSIBILITIES

By using OMH Agency Services, you agree that you are fully responsible for:

• Your content

• Your messaging

• Your marketing practices

• Compliance with all applicable laws and regulations

You agree not to use the Services for:

• Spam, illegal outreach, or fraudulent activity

• Violations of TCPA, CAN-SPAM, A2P 10DLC, or any other marketing laws

• Misleading or deceptive business practices

OMH Agency provides tools and templates, but you are solely responsible for customizing and using them lawfully.

6. COMPLIANCE OBLIGATIONS

You agree to maintain compliance with all:

• Federal, state, and local laws

• Marketing regulations

• Real estate regulations (if applicable)

• Data privacy and protection laws (GDPR, CCPA, HIPAA if applicable)

Templates, scripts, and workflows are provided for guidance only and must be reviewed by your legal counsel before use.

7. PAYMENTS, BILLING & REFUNDS

Cancel within the first 30 days for a 100% refund. Just contact us by phone or email before your first automatic monthly payment processes on day 30.

Ongoing Billing Terms

• Monthly fees auto-bill unless canceled with 7 days written notice before renewal.

• Setup fees are non-refundable once work has begun.

• Communication usage fees (texts, calls, emails) powered by HighLevel are billed separately.

Failure to pay may result in suspension or loss of access to your system, phone numbers, or assets.

7A. ADDITIONAL PRICING & USAGE FEES

In addition to your standard monthly subscription fees, certain additional charges may apply based on your usage or optional services. These may include, but are not limited to:

1. Communication Usage Fees

(These are passed through directly from HighLevel and/or carriers)

2. Optional Add-Ons & Upgrades

Pricing may vary depending on your package or customizations requested.

3. Required Carrier Registration (For Texting)

As of recent telecom regulations, all U.S.-based business texting requires registration (A2P 10DLC compliance).

4. Other Pass-Through Costs

• Postcard or Direct Mail Campaigns

• Email Deliverability Tools (Optional)

• Appointment Scheduling Tools (Optional Upgrades)

• Website Hosting / Media Storage (if outside of HighLevel’s standard offering)

We do our best to keep these rates stable, but usage fees are subject to change based on HighLevel’s or carrier pricing updates. We’ll notify you if significant changes occur.

Other Charges

While your platform has a wide array of features, many of which you will discover as you dig deeper into the system, there are high usage fees and Premium features that you need to be aware of.

Calls, Texts, and Emails

Each Iron Closer account is given $25 credits each month for email, phone, and texting, which covers modest use for your business.

Below are the charges for US usage – higher rates apply outside the US. These rates are subject to change, as they are set by 3rd party providers.

Workflow Pro Plan (Premium Workflow Executions): $14.99 / month

10,000 workflow premium executions for just $14.99/month with 1-month validity – up to 60% cheaper than standard platforms. That’s an effective cost of $0.0015 per action and trigger for the first 10,000 executions.

WhatsApp Integration: $29.99

Receiving Inbound messages and replying to them using a free text in the conversation window are free. There will be additional pass through charges for outbound template messages if sent.

8. COMMUNICATION SYSTEMS USE

All messages sent via the OMH Agency-powered systems (texts, emails, calls, voicemails, AI responses) are fully your responsibility.

OMH Agency does not control your messaging content or outreach schedule.

You are solely responsible for:

• Consent from recipients

• Message content

• Timing and targeting

9. AI ACCEPTABLE USE POLICY

If using AI-powered tools, you agree to:

• Clearly disclose to recipients if AI is used

• Not use AI for deceptive, harmful, or discriminatory practices

• Follow all applicable laws related to AI communications

10. DATA OWNERSHIP & PRIVACY

You own the data, leads, and contacts inside your OMH Agency-powered system.

OMH Agency does not sell your data.

11. THIRD-PARTY SERVICES

You may connect OMH Agency tools with other third-party software. Use of third-party tools is at your own risk and subject to their own terms of service.

OMH Agency is not responsible for third-party service failures or outages.

12. INTELLECTUAL PROPERTY

All OMH Agency workflows, templates, automations, systems, and assets remain the intellectual property of OMH Agency.

Your license is for internal business use only.

You may not:

• Copy

• Resell

• Share

• Modify into a competing product

without written permission.

13. LIMITATION OF LIABILITY

OMH Agency provides services as-is with no guarantee of specific results.

We are not liable for:

• Lost leads

• Missed opportunities

• Errors in workflows

• Platform outages

• Business losses

Maximum liability is limited to the fees paid to OMH Agency in the past 3 months.

14. DISPUTE RESOLUTION & ARBITRATION

Any disputes will be resolved through binding arbitration in the State of Montana.

Class action lawsuits are expressly waived.

15. TERMINATION & SUSPENSION

OMH Agency may suspend or terminate your access for:

• Failure to pay

• Illegal use

• Abuse of systems

• Violations of these Terms

16. CHANGES TO THESE TERMS

We may update these Terms at any time. We’ll notify you of significant changes.

Your continued use of the Services means you accept the updated Terms.

17. DEFINITIONS

For purposes of these Terms of Service, the following terms have the meanings set forth below:

“OMH Agency”

Refers to OMH Agency, LLC, a Montana limited liability company, providing services, software, consulting, and automation systems to entrepreneurs, real estate investors, and business owners.

“Services”

Means all products, platforms, consulting, strategy, systems, automations, SaaS, and deliverables provided by OMH Agency. This includes but is not limited to:

• Iron Closer
• Rental Manager Pro
• Podcast HostMaster
• Custom CRM buildouts
• Automations, workflows, templates, forms, websites, AI tools, funnels, and support services.

“Client” or “You”

Refers to the individual or business entity who has entered into this agreement with OMH Agency and/or uses OMH Agency’s Services.

“HighLevel”

Refers to the SaaS platform provided by HighLevel, LLC that powers many of OMH Agency’s systems. By using OMH Agency’s Services, you are also subject to HighLevel’s Terms of Service.

“Platform”

Refers to the online software and tools provided through OMH Agency, powered by HighLevel, including client portals, dashboards, automation systems, and CRM access.

“Templates”

Means pre-built assets provided by OMH Agency for your internal business use, including:

• Workflows
• Funnels
• Email sequences
• Text message sequences
• Websites
• Forms
• AI scripts
• Automations

Templates are provided as starting points and must be customized and reviewed by you before use.

“Usage Fees”

Refers to additional charges for outbound communications through the Platform, including but not limited to:

• Text messaging (SMS/MMS)
• Email sending
• Voice calls
• AI usage
• Other premium features available through HighLevel and their vendors and affiliates.

Usage fees are billed separately and passed through from HighLevel or third-party providers.

“Client Data”

Refers to the data, contacts, leads, customer information, or other materials uploaded, entered, or generated within your OMH Agency-powered system.

You retain ownership of your Client Data.

“AI Tools”

Means any artificial intelligence features, including but not limited to:

• Automated messaging
• AI-assisted responses
• AI content generation

Lead grading or scoring

These tools may be subject to additional compliance responsibilities.

“Arbitration”

Means the process of resolving disputes outside of court, as governed by Montana law and as detailed in these Terms.

“Third-Party Services”

Means any software, platform, or tool provided by another company that you may choose to integrate with OMH Agency systems, including but not limited to:

• Zapier
• Google services
• Social media platforms
• Payment processors
• Scheduling tools
• Leads providers
• Facebook

Third-Party Services are governed by their own terms of service and are used at your own risk.
